Client Membership and Terms of Use

1. Parties
These Client Membership and Terms of Use (the “Agreement”) are concluded between [COMPANY_TITLE], MERSIS No. [COMPANY_MERSIS], located at [COMPANY_ADDRESS] (the “Platform”), and the natural or legal person who registers as a client at https://sef.verifull.cloud (the “Client”), upon the Client’s electronic approval of this Agreement during registration.

2. Definitions
- Chef: An independent private chef who has created a profile on the Platform and been approved by an administrator.
- Inquiry: The Client’s request to a Chef containing event date, guest count, location, budget range and a note.
- Pre-authorization: Blocking the unlock fee on the Client’s card; the amount is not charged until the Chef accepts.
- Unlock: The service of displaying the Chef’s contact details to the Client and opening messaging between the parties once the Chef accepts the inquiry.
- Credit: A prepaid unit granting one unlock (packs of 1, 5 or 10).
3. The Platform’s intermediary role
3.1. The Platform is an intermediary service provider under Law No. 6563 on the Regulation of Electronic Commerce. It connects Clients with Chefs and provides access to Chefs’ contact details.
3.2. Chefs are independent; they are not employees, agents or subcontractors of the Platform. The service contract for the event (menu, price, date, payment, cancellation terms) is concluded directly between the Client and the Chef. The Platform is not a party to that contract.
3.3. The Platform does not guarantee the quality or food safety of the Chef’s services, the Chef’s attendance at the event, or the price agreed with the Chef.
4. Membership
4.1. To register, you must be at least 18 years old and have legal capacity. The Client confirms that the information provided is accurate and up to date.
4.2. The Client is responsible for account security and keeping the password confidential, and must notify the Platform immediately upon noticing unauthorized use.
5. Inquiry and pre-authorization flow
5.1. The Client creates an inquiry from a Chef profile and authorizes payment of the unlock fee on the Iyzico payment page. The amount is blocked on the card as a pre-authorization and is not yet charged. Card details never reach Platform servers.
5.2. The Chef accepts or declines the inquiry within 48 hours. During this period the Chef sees only an inquiry summary and cannot see the Client’s contact details.
5.3. If the Chef accepts: The pre-authorization is captured, the Chef’s contact details are unlocked and messaging opens. The service is deemed performed at that moment and an e-Archive invoice is issued in the Client’s name.
5.4. If the Chef declines or does not respond within 48 hours: The pre-authorization is voided and the Client is not charged anything. The Platform may suggest alternative chefs.
5.5. The time it takes for the blocked amount to be released on the card depends on the Client’s bank.
6. Credits
6.1. The Client may buy credit packs of 1, 5 or 10 unlocks. For an inquiry made with a credit, the credit is reserved until the Chef accepts; it is deducted on acceptance and returned to the balance on decline or timeout.
6.2. The same Chef’s contact details are never charged twice to the same Client.
6.3. Credits are non-transferable and cannot be exchanged for cash. Withdrawal and refund terms for unused credits are set out in the Distance Sales Agreement and the Refund Policy.
7. Client obligations and prohibited conduct
The Client agrees not to:
- Attempt to circumvent the fee by sharing, or asking for, phone numbers, emails, social media accounts or links in messages before unlock (off-platform circumvention),
- Create fake inquiries without a genuine intention to hold an event, or create inquiries on behalf of others without authorization,
- Harvest, share with third parties, sell or use Chef contact details for any purpose other than organizing an event,
- Send Chefs harassing, insulting or discriminatory messages,
- Attempt to bypass the Platform’s security measures, scrape data with automated tools or disrupt the service,
- Use another person’s payment instrument without authorization.
Upon detecting such conduct, the Platform may warn, suspend or close the account and claim compensation for its damages.
8. Reviews
8.1. The Client may only review events that actually took place and were completed with the Chef after an unlock.
8.2. Reviews must be truthful and based on personal experience, and must not contain insults, personal data or advertising. The Platform may remove reviews that breach these rules.
9. Limitation of liability
9.1. The Platform’s liability is limited to the unlock fee paid by the Client to the Platform for the relevant inquiry. This limitation does not apply to intent, gross negligence or cases arising from mandatory consumer law.
9.2. The Platform is not liable for the performance of the service between the Client and the Chef, food safety, damage occurring at the event, or payments between the parties.
9.3. The Platform does not guarantee uninterrupted or error-free service; the service may be temporarily suspended for planned maintenance and force majeure.
10. Personal data
Information on the processing of personal data is set out in the Privacy Notice (KVKK) and the Cookie Policy. The Client can manage the account and data, download data or request account deletion on the /hesap page.
11. Term and termination
11.1. This Agreement is for an indefinite term. The Client may terminate it at any time by deleting the account; unused credits are subject to the Refund Policy.
11.2. In case of breach, the Platform may suspend or close the account upon notice, or immediately in case of serious breach.
12. Amendments
The Platform may amend this Agreement. For material changes, the updated text is published with a version number and the Client is asked to re-consent at the next sign-in. The Client cannot create inquiries or make payments until approving the new text; if the Client does not approve, the Client may delete the account. Approvals are recorded with version, date and IP address.
13. Dispute resolution
13.1. The Client may first submit complaints to [COMPANY_EMAIL] or via the reporting flow on the Platform.
13.2. Clients acting as consumers may apply to the Consumer Arbitration Committee at their place of residence or where the transaction was made, within the monetary limits set annually by the Ministry of Trade, and to the Consumer Court for disputes exceeding those limits. Applications can also be made via e-Devlet through TÜBİS.
13.3. For non-consumer Clients, the courts and enforcement offices where [COMPANY_ADDRESS] is located have jurisdiction. [lawyer to assess]
13.4. This Agreement is governed by Turkish law. In case of conflict between the Turkish and English texts, the Turkish text prevails.
14. Entry into force
The Client confirms having read, understood and electronically approved all provisions of this Agreement. The Agreement enters into force upon approval.
